Commerce is typically conducted through a recognised corporate entity that has a legal identity of its own. The business of the corporation is placed into the hands of Directors, appointed by the shareholders, and who are regulated through the Corporations Law as to their responsibilities and liabilities.
Commercial Law is concerned with both the internal aspects of the corporation, how it is run, how it raises capital and reports to its owners; as well as the external aspects of how it trades, how it deals with its creditors and debtors and complies with laws, regulations and other government requirements.
